1. Acceptance of Terms

By accessing or using the Cendri Health website at cendrihealth.com (the "Site") or the Cendri Health clinical intelligence platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Site or Platform. These Terms constitute a binding agreement between you and Cendri Health LLC, a Florida limited liability company.

2. Description of Services

Cendri Health LLC provides a clinical intelligence overlay platform for behavioral health organizations, including AI-assisted documentation, predictive risk modeling, payer intelligence, and governance tools. Wearable biometric integration is available at facility rollout under an executed BAA. The Platform is intended for use by licensed healthcare organizations and qualified clinical professionals. It is not a consumer health product and is not intended for direct patient use without clinical oversight.

3. Not Medical Advice

The Cendri Health Platform is a clinical decision support tool. It does not replace the professional judgment of licensed clinicians. All AI-generated content, risk scores, documentation drafts, prior-authorization letters, denial appeals, and clinical recommendations are intended to support — not substitute — clinical decision-making.

Patient-facing AI features, including risk stratification scores, treatment-response predictions, adherence monitoring, and wellness summaries, are designed to support wellness and engagement — not to diagnose conditions or prescribe treatment. None of these outputs constitute a diagnosis, medical recommendation, or treatment plan. A qualified clinical professional must review and approve all AI-generated content before it informs any clinical or operational decision.

Cendri Health LLC is not liable for clinical outcomes, treatment decisions, or revenue-cycle outcomes resulting from use or misuse of Platform outputs. All treatment decisions remain the sole responsibility of the treating clinician and their organization. All billing, coding, and claim-submission decisions remain the responsibility of the facility's revenue-cycle team.

4. HIPAA and Data Obligations

Organizations using the Platform to process Protected Health Information (PHI) must execute a Business Associate Agreement (BAA) with Cendri Health LLC prior to use. Use of the Platform without a signed BAA where PHI is involved is strictly prohibited. Cendri Health LLC complies with HIPAA, HITECH, and 42 CFR Part 2 requirements as applicable.

5. Intellectual Property

All content on the Site and Platform — including but not limited to text, software, AI models, training scenarios, clinical domain frameworks, governance pipelines, logos, and design — is the property of Cendri Health LLC and is protected by applicable intellectual property laws. Patent applications are pending. Unauthorized use, reproduction, or distribution of any Cendri Health content is strictly prohibited.

6. Permitted Use

You agree to use the Site and Platform only for lawful purposes and in accordance with these Terms. You may not:

• Use the Platform to process PHI without a signed BAA
• Attempt to reverse engineer, decompile, or extract proprietary AI models or training data
• Use the Site or Platform in violation of any applicable law or regulation
• Transmit malicious code, spam, or unauthorized advertising
• Misrepresent your identity, credentials, or organizational affiliation

7. Disclaimer of Warranties

THE SITE AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Cendri Health LLC does not warrant that the Platform will be error-free, uninterrupted, or free of security vulnerabilities.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENDRI HEALTH LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PLATFORM, INCLUDING CLINICAL OUTCOMES, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CENDRI HEALTH LLC IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Martin County, Florida.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will update the "Last updated" date above when changes are made. Continued use of the Site or Platform after changes constitutes acceptance of the revised Terms.
